1. Agreement to Terms
These Terms & Conditions (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "Customer"), and Arc Project Systems LLC, doing business as Arc ("Arc," "we," "us," or "our"), governing your access to and use of our website at https://arcnaples.com, our software applications, and any related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
2. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. If you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at info@arcnaples.com if you suspect any unauthorized use.
3. Subscriptions & Fees
Certain Services are offered on a subscription basis. Applicable fees, billing frequency, and plan features are described in the ordering process or in a separate written agreement. Unless otherwise stated, fees are quoted in U.S. dollars, are billed in advance, and are non-refundable except as required by law. We may change our fees on a prospective basis upon reasonable notice. Failure to pay may result in suspension or termination of your access to the Services.
4. Intellectual Property Rights
The Services and their entire contents, features, and functionality, including all source code, software, designs, text, graphics, logos, and trademarks (collectively, the "Content"), are owned by Arc Project Systems LLC or its licensors and are protected by United States and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. No rights are granted to you other than as expressly set out in these Terms.
5. Customer Data
As between you and Arc, you retain all rights to the data, files, and materials you submit to the Services ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and transmit Customer Data solely as necessary to provide and improve the Services and as permitted by our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for obtaining all rights and consents necessary for us to process it.
6. Acceptable Use
You agree not to: (1) use the Services for any unlawful, harmful, or fraudulent purpose; (2) access the Services through automated or non-human means except through documented interfaces; (3) attempt to gain unauthorized access to, interfere with, or disrupt the Services or related systems; (4) reverse engineer, decompile, or attempt to derive the source code of the software, except to the extent permitted by law; (5) resell, sublicense, or make the Services available to any third party except as expressly permitted; or (6) upload malicious code or infringe the rights of others.
7. Third-Party Services
The Services may integrate with or link to third-party products and services that are not owned or controlled by Arc. We are not responsible for the content, policies, or practices of any third party, and your use of those services is governed by their respective terms. Your decision to enable any integration is at your own discretion and risk.
8. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARC PROJECT SYSTEMS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Arc Project Systems LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your Customer Data, your use of the Services, or your violation of these Terms or applicable law.
11. Term & Termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, with or without notice, for any conduct that we reasonably believe violates these Terms or applicable law, or that is harmful to other users, us, or third parties. Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will survive.
12. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
13. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. You and Arc Project Systems LLC agree that the state and federal courts located in Collier County, Florida will have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services.
